Extranet Terms and Conditions:


1. Compliance with Terms and Conditions

1.1.  You wish to obtain access to products, services and information ("Services") accessible via Sanlam Investments and Pensions' Extranet Facility. By clicking on the appropriate box and completing and submitting the accompanying registration form (which includes you inputting a username and password) you undertake to comply with these terms and conditions and the Agreement referred to in 1.2 below where appropriate when making use of the Services as may be made available to you from time to time by Sanlam Investments and Pensions through the facility.

1.2.  If you have access to the Sanlam Investments and Pensions Contract Enquiry Service this is also governed by the Origo Legal Framework Electronic Services Agreement (Provider-Intermediary) and a supplemental Commercial & Technical Agreement. The wording of the Commercial & Technical Agreement differs depending on whether your software platform supplier has a Trusted Third Party Agreement in place with Sanlam Investments and Pensions. Accordingly, one of the following Commercial & Technical Agreements will apply:-


1.3.  You acknowledge that Sanlam Investments and Pensions may require you to provide a digital certificate acceptable to Sanlam Investments and Pensions in order to use any or all of the Services.

1.4.  (a) These terms and conditions apply to you as a user of the Services and also apply to you where you fall within our category of ‘Super-User’. A Super-User is a user of the Services to whom we have granted a facility whereby, amongst other features, the Super-User can restrict the access of certain other users of the Services. In order to become a Super-User, you must follow our registration procedure for this purpose, in addition to confirming your agreement to these terms and conditions.


  (b) By applying to become a Super-User, you are deemed to represent and warrant to us that you have appropriate and continuing authority to restrict the right of access of the other identified users and that you have disclosed your function as Super-User to such other users and where necessary, obtained their prior consent to their restriction of use. We will not be responsible for verifying your authority to act in this way or to obtain Super-User status. You will be liable for all consequences resulting from your use of the Super-User facility, including any improper or negligent use.


  (c) We draw to your attention, however, that we make no representation or warranty, express or implied regarding the efficiency, quality or accuracy of the Super-User facility, nor whether the Super-User facility will achieve the intended purpose. We will not be liable for any loss or damage, including but not limited to direct, indirect or consequential loss or damages that may result from your use of the Super-User facility or from the restricted user of the Services or from access to information by means of the Super-User facility, any use of the Super-User facility and its consequences, being at your sole risk.


  (d) We may change or adjust the Super-User facility as we think fit from time to time. We may at our absolute discretion withdraw the Super-User facility at any time, whether in respect of an individual user or generally. If such action is necessary we will endeavour to give the relevant user prior notice except where we believe there is misuse of the facility whereupon we may withdraw it immediately.

2. Intellectual Property Rights of Sanlam Investments and Pensions

2.1.  All intellectual property rights (including copyright) subsisting in the information contained on the Extranet and accessible via it are owned by Sanlam Investments and Pensions. You may make use of the information solely for your own internal business purposes. The information may be reproduced and merged with other information held by you only to the extent that this is necessary during the ordinary course of business either: by you (for example, in order to undertake research on product performance): or in order to provide your clients with such further information or reports as they may request.

3. Information Content

3.1.  Sanlam Investments and Pensions reserves the right to alter the content, presentation, performance, user facilities and availability of all or any part of the Services at its sole discretion.

3.2.  Sanlam Investments and Pensions does not make any warranties, express or implied, as to the accuracy, adequacy, completeness and quality of the Services, and shall not accept any liability to you resulting from your use of the information made available, any such use being at your sole risk.

3.3.  Subject to clause 3.2, Sanlam Investments and Pensions shall use all reasonable endeavours to ensure that the Services shall be free from computer viruses. However, Sanlam Investments and Pensions recommends that you employ reasonable virus detection and protection measures when accessing the Services or downloading any information.

3.4.  Other than in respect of personal injury or death arising directly as a result of Sanlam Investments and Pensions' negligence in connection with the provision of the Services, under no circumstances will Sanlam Investments and Pensions be liable for any loss or damage, including but not limited to direct, indirect or consequential loss or damages that result in any way and for any reason from your use of the Services or from access to other material on the internet via web links from this website.

4. Foreign Access

4.1.  The Services are provided in the United Kingdom and are intended for United Kingdom residents and their Financial Advisers only and you agree that you will not use the Services outside of the United Kingdom.

4.2. Sanlam Investments and Pensions does not make any warranties, express or implied, that the Services are compliant with applicable local laws or regulations in any particular jurisdiction outside the United Kingdom or that the Information can be legitimately used outside the United Kingdom.

4.3.  The Services or any part thereof shall not be deemed to constitute an offer or solicitation in respect of any investment in any jurisdiction.

5. Termination

5.1.  You may terminate this agreement at any time by notification in writing to Sanlam Investments and Pensions either by post, facsimile or e-mail.

5.2.  If you are in breach of any of these terms and conditions or for any other reason, we may at any time, at our sole discretion and without notice, terminate or suspend your access to the Services.

6. Assignment

6.1. You shall not be entitled to assign or sub-contract any of your rights or obligations under these terms and conditions.

7. Security

7.1.  You shall take appropriate technical and organisational measures against unauthorised access to or disclosure of the information accessed via the Services to a third party, and against accidental loss of or damage to the information to or by a third party, and against accidental loss of or damage to the information, in whatever form the information is displayed or stored. These measures shall include (but shall not be limited to) the following:

(a) You agree to maintain the confidentiality and security of the information, your username, password and digital certificate (if any) and shall not pass on details of the same to any third party (including other persons in your organisation);

(b)  The password may be altered by you. You undertake to amend your password whenever any individual who is not entitled to use or have access to such password gains access to it;

(c)  If you become aware of any unauthorised access to the Extranet, you shall immediately:

(i)  notify Sanlam Investments and Pensions, and

(ii)  desist from any future use of the Extranet

(d)  If, as a result of a change of employment (or for any other reason) you are no longer entitled to use the Extranet or the Services.

For the avoidance of doubt, notification of a change of email address shall not constitute adequate notice for the purposes of clause 7.1.(c).(i). You are required to re-register for access to the Extranet on a change of employment by you even if both your old and new employers have entered into agreements with Sanlam Investments and Pensions to access to the Extranet.

8. Survival of Terms

8.1.  All duties of non-disclosure, disclaimers, indemnities and exclusions contained within these terms and conditions shall survive termination of the agreement between the parties.

9. Jurisdiction

9.1.  The interpretation of these terms and conditions will be governed by English law and the parties submit to the exclusive jurisdiction of the English Courts.

10. Data Protection

10.1.  You may process personal data supplied to you by us. You warrant to maintain the security and integrity of that data, and not to make any disclosure of it to any third party whatsoever, without prior reference to and approval from us. For the avoidance of doubt, you may only access the personal data of policy holders/ clients whose contracts with us were personally introduced by you and for whom you remain the duly appointed financial adviser, or when we hold written authority from the policyholder/ client to provide information to you, and only in respect of those contracts.

As providers of the Extranet Facility Sanlam Life & Pensions UK Limited and Sanlam Financial Services UK Limited are regarded as data controllers within the meaning of the applicable data protection laws, including but not limited to the General Data Protection Regulation and any implementing and subordinate legislation. You warrant and represent you have read the website Privacy Policy which explains how we use your personal data, and which is available on our website www.sanlam.co.uk

You further warrant, represent and undertake to Sanlam Investments and Pensions that, prior to communicating a client's personal and/or sensitive data through the Services, (a) you will fully explain to the client that their personal data may be used in the manner specified above and, (b) you will obtain the client's explicit consent to such use of their personal data.

11. Valuations

All valuations are as at the specific date indicated under the heading "Important Information - please read" and do not reflect surrender or transfer values and are not guaranteed. The information shown is derived from Sanlam Investments and Pensions administration system at close of normal business on the specific date indicated. Changes occurring, or notified to us after that time will therefore not be reflected. Whilst we endeavour to ensure that the information provided here is accurate as at the date shown, we shall not have any liability at all for any loss or damage of any kind arising as a result of reliance being placed on the information by you or any third party. Where the plan is invested in a personal fund, the units allocated reflects the position based upon the last known value of the assets held in the fund and all receipts and payments received or paid in connection with those assets to date. The value quoted is therefore indicative only and is not guaranteed. The actual availability of funds for withdrawal, surrender or transfer is dependent on the level of cash in the underlying personal or wrapper fund.
